These terms and conditions ("TC") govern the access to and the use of Okoul's services and platforms, through the website or through the mobile apps (the “Services”).
You may use the Services only if you agree to accept these TC.
These TC create a legally binding relationship between you as a user of
the Services and Okoul (“Okoul”, “we”, “our” or “us”).
If there is anything you do not understand in
the TC (or anywhere else on the Services),
please contact us by using the method described in “Contacting Us” section.
However, if you do not accept these TC, you must stop using or accessing the Services.
All users should commit to ethics and values and should refrain from insult and abuse of the site.
You are not permitted to use the service to facilitate illegal file and/or content sharing.
You may use the Services only in compliance with these TC and all applicable laws, rules and regulations.
We require our users to be at least 18 years old to access or use any of our platform and services.
You are accepting these TC and using the Services on behalf of a company, organization, government, or other
legal entity, you represent and warrant that you are authorized to do so.
By using the Services, you are confirming that you have not been convicted of, nor are you subject to any court order.
By using the Services, you are confirming that you are not a person barred from receiving services under the laws of the applicable jurisdiction.
We do not conduct any background checks on users, criminal or otherwise. You need to be diligent when interacting with other people online.
We reserve the right to artificially manipulate a user’s visibility, status or rank on the services.
We do not store credentials or tokens to social networks off of the device and we only use such credentials or
tokens to directly connect to the social network from the app itself while the app is in use.
You agree to provide true and accurate information and to update it as necessary to keep it accurate. If you provide us with false information,
we reserve the right to suspend or terminate your account.
You are not allowed to use an email or mobile that does not belong to you.
Pretending to be another person by name, mobile number or any other means is not allowed and we have the right to take adequate actions.
Non-registered users are able to access only the parts of
the Services that are publicly available and do not enjoy
all of the privileges of being a registered member.
Non-registered users are, however,
still subject to the TC.
You are responsible for safeguarding your account,
so make sure no one has access to your email, mobile phone and mobile number.
We are not be liable for any loss or damage arising from your failure to comply with the above.
We may terminate your account or block you from accessing the Services if you break the rules.
If you think that someone else might be using your account,
you must notify us immediately by using the by using the method described in “Contacting Us” section
You acknowledge that we can block or respond to posts or shared
information that we determine is otherwise objectionable or as set
forth in the TC. In addition, you acknowledge that we have your
consent to monitor and block posts and shared information that we
consider to be harassing or bullying
By displaying or publishing any content on or through the Services,
you hereby release the content to public domain, content licensed differently should have an attached license and proper attribution if necessary.
The above content includes any content, materials, files that you share with us as part of competitions and/or challenges.
You acknowledge that we have the right to monitor your access to or use of
the Services for the purpose of operating and improving
the Services (including without limitation for fraud prevention, risk assessment,
investigation and customer support purposes), to ensure your compliance with the TC and to
comply with applicable law or the order or requirement of a court, consent decree,
administrative agency or other governmental body.
We reserve the right, at any time and without prior notice,
to remove or disable access to any post for any reason or no reason, including for example,
copyright or trademark violations, impersonation, unlawful conduct, or harassment.
You represent and warrant that: (i) you own the content posted by you on or through the Services,
(ii) the posting and use of your content on or through the Services does not violate
the privacy rights, publicity rights, copyrights, contract rights,
intellectual property rights or any other rights of any person, and (iii)
the posting of your content on the website does not result in a breach of contract
between you and a third party. You agree to pay for all royalties, fees,
and any other monies owing any person by reason of content you post on or through the Services.
We may suspend or terminate your access to the Services for any reason,
including if we believe a user has violated these TC.
We also reserve the right to at any time block users from accessing and using
the Services by using any solutions we deem appropriate.
We reserve the right to terminate your access to the Services without notice.
Okoul has the right to remove inactive accounts under the duration that Okoul sees adequate.
Upon termination or expiration of your rights to use the Services or any portion thereof,
you authorize us to delete any files, data and messages associated with your account for the Services,
or applicable portion thereof, without notice to you.
We may, at any time and for any reason make changes to these TC. We may do this for a variety of reasons, including reflecting changes in or requirements of the law, new features, or changes in business practices.
If you continue to use the Services after the changes become effective, then you shall be deemed to have accepted those changes.
If you do not agree to these changes, you must end your relationship with us (without penalty) by ceasing to use the Services and leaving the Services.
If we update or upgrade the Services, you may be required to accept the most recent version of the TC to access the updated or upgraded Services. We have the right to modify the TC if needed and whenever adequate.
Information provided by our users through the Services may contain links to third-party websites,
mobile apps or other services that are not owned or controlled by us.
We have no control over and assume no responsibility for, the content, privacy policies,
or practices of any third-party websites. In addition,
we are not responsible for and cannot censor or edit the content of any third-party site.
By using the Services, you expressly acknowledge and agree that
Okoul parties shall not be responsible for any damages,
claims or other liability arising from or related to your use of any third-party website.
All communicated content on the website is the responsibility of their owners and
Okoul is not responsible for its content or any damage that could result from
this content or the use of any of the site's services.
You agree that the Services provided by Okoul shall be subject
to all the applicable regulations in the Kingdom of Saudi Arabia.
Any dispute shall be before the courts of Saudi Arabia.
الشروط والأحكام لتنفيذ خدمات انشاء تحديات مدفوعه (MVP)
تقوم عقول بتنفيذ الخدمات الموضحة ادناه
الخدمات:
إنشاء تحدي برمجي واحد من الباقة المختارة (تطبيقات الجوال أو مواقع أو تصميم الواجهة) على منصة عقول ويشمل ذلك:
تحدي مدته أربع أسابيع لتحديات المواقع وتطبيقات الجوال، أو تحدي مدته أسبوعين لتحديات تصميم الواجهات.
يتبعها أسبوعين إضافية لتحديات المواقع وتطبيقات الجوال أو أسبوع لتحديات تصميم الواجهات يسمح فيها طلب تعديلات على النموذج الأولي
ملكية كاملة للمصادر البرمجية للنموذج الأولي للحل الفائز، ويتم اختيار الفائز من قبل الطرف الثاني إلا إذا طلب المستخدم خدمة تقييم المشاركين (قيمة الخدمة 350 ريال كرسوم إضافية).
استشارة مجانية مدتها نصف ساعة مع خبير في ريادة الأعمال.
رفع التطبيق على متجر قوقل Play Store ومتجر أبل App Store إذا كان باقة تحديات تطبيقات الجوال.
المساعدة في تجهيز متطلبات التحدي والتي يقصد بها وصف مشكلة التحدي والمطلوب تسليمه من قبل أعضاء منصة عقول.
تسويق التحدي للفئة المستهدفة.
تقديم الدعم التقني للمنصة في حال حدوث مشكلة تقنية.
نلتزم:
القيام بتنفيذ الخدمات التي تم الاتفاق عليها
في حال حدوث مشكلة تقنية أدت إلى عدم إكمال التحدي نقوم بإرجاع المبلغ كاملاً إلى منشئ التحدي.
في حال عدم وجود خمس نماذج من الحلول على الأقل نقوم بإرجاع المبلغ كاملاً إلى منشئ التحدي.
تسليم المصادر البرمجية للحل الفائز إلى الطرف الثاني.
يلتزم المستخدم:
بتزويدنا بكل ما يحتاجه من متطلبات ومعلومات جوهرية لتنفيذ الخدمات .
دفع المبالغ المالية المتفق عليها ووفقاُ للدفعات والآلية المحددة.
اختيار الفائز بالتحدي في حال عدم وجود اتفاقية بين الطرفين بخلاف ذلك
يقوم الطرفان بمناقشة أي متطلبات جديدة خارج نطاق التعاقد ويتم تنفيذها عند موافقة جميع الأطراف.
يمنع الحصول على المصادر البرمجية/التصميمية لأي حل غير الحل الفائز في التحدي دون أخذ موافقة.
حقوق الملكية الفكرية:
كامل حقوق الملكية الفكرية لمصادر الحل الذي يتم اختياره فائزاً هي ملك لمنشئ التحدي، ويستثنى من ذلك أي مصادر لها رخص أخرى يتم استخدامها من قبل المبرمج/المصمم
يمتلك المبرمج/المصمم كامل حقوق الملكية الفكرية لمصادر حله إذا لم يتم اختياره ليكون الفائز، ويستثنى من ذلك أي مصادر تنقل حقوقها عبر اتفاقيات أخرى بين الطرفين
السرية:
يتعهد كلا من طرفي التعاقد بالحفاظ على سرية المعلومات والبيانات التي يحصل عليها بحكم هذا التعاقد وينبغي عدم استخدام هذه المعلومات في غير الأغراض المخصصة لها على ألا يتعدى تداول هذه المعلومات الطرفين والأطراف التي تعمل على تنفيذ موضوع هذا التعاقد ووفقاً لما تتطلبه حاجة العمل
إخلاء المسؤولية:
نخلي مسؤوليتنا عن أي أضرار مترتبة على التحدي ومخرجاته إذا لم تكن بسبب تقصير منا أو من أحد موظفينا.
فض النزاع:
أي خلاف أو مطالبة أو نزاع من أي نوع قد ينشأ بخصوص هذا العقد أو بسببه يحل ودياً، وإذا تعذر الحل الودي خلال مدة أقصاها (30) ثلاثون يوماً من نشوء الخلاف أو النزاع تحال للجهة القضائية المختصة في المملكة العربية السعودية. كما يخضع العقد للأنظمة المعمول بها في المملكة العربية السعودية ويجري تفسيره وتنفيذه والفصل فيما ينشأ من نزاعات بموجبها.
